Standard Warranty, Commissioning & Sales Terms

1. Commissioning & Installation Responsibilities

Customer Responsibilities

The Customer is responsible, at its own expense, for providing:

  • Adequate installation space and foundation suitable for the equipment
  • Electrical power in accordance with supplied specifications
  • Compressed air supply meeting the required pressure, flow, and quality
  • Proper ventilation and environmental conditions
  • Qualified personnel to assist during installation and commissioning
  • Safe access to the equipment for service and commissioning activities

The Customer is also responsible for unloading, positioning, and internal transportation of the equipment unless otherwise agreed in writing.


2. Commissioning & Startup (General)

  • The equipment is delivered factory-tested and ready for commissioning.
  • Remote commissioning (via video call) is included and covers:
    • Verification of mechanical, pneumatic, and electrical connections
    • Initial system startup
    • Parameter adjustment and functional testing
    • Basic operator training
  • On-site commissioning is available upon request and is quoted separately unless included as a line item in the invoice or quotation.

Commissioning assumes that all installation conditions comply with the provided technical requirements.

Delays or issues caused by site conditions are not the responsibility of the Supplier and may result in additional charges.


3. Startup & Commissioning – Standard Scope (If Included in Invoice)

If startup and commissioning are included as a separate line item in the invoice or quotation, the following scope applies unless otherwise stated:

  • One (1) service engineer
  • On-site startup and commissioning of the supplied equipment
  • Basic operator training
  • Up to two (2) working days on site
  • Travel-related expenses (airfare, lodging, local transportation, and per diem)

Startup and commissioning are performed assuming that all site conditions, utilities, and connections are ready upon engineer arrival.

Any additional time on site, additional visits, delays caused by site readiness, or services beyond the scope described above shall be quoted and billed separately.

Extended or expedited commissioning services are available upon request.


4. Warranty Terms

  • The equipment is covered by a twelve (12) month limited warranty starting from the date of commissioning or shipment, whichever occurs later, but in no event longer than eighteen (18) months from the shipment date.
  • The warranty covers defects in materials and workmanship under normal industrial use.

During the warranty period:

  • Technical support and troubleshooting are provided remotely at no charge
  • Replacement parts are provided at no charge (ex works)

5. Warranty Exclusions

The warranty does not cover:

  • Consumables and normal wear parts (filters, seals, valves, etc.)
  • Damage resulting from:
    • Improper installation or operation
    • Inadequate or contaminated compressed air
    • Electrical supply outside specified limits
    • Unauthorized modifications or repairs
  • Downtime, lost production, or consequential damages

6. Warranty Service & On-Site Support

  • All warranty claims are diagnosed remotely first.
  • If replacement parts are required:
    • Parts are covered under warranty
    • Shipping costs are the responsibility of the Customer
  • On-site service, if requested or required, is billed as follows:
    • $185 per hour, with a minimum of one (1) full day (8 hours)
    • Travel-related expenses (airfare, lodging, rental car, per diem) billed at cost
    • A ten percent (10%) administrative and handling fee applied to all travel-related expenses

If a service visit determines that the issue is not warranty-related, all associated service, travel, and administrative costs shall be invoiced to the Customer.

All on-site service is scheduled subject to engineer availability.


7. Service Response & Availability

  • Initial technical response is provided within one (1) business day.
  • Remote diagnostics and troubleshooting are typically performed the same day or the next business day.
  • On-site service, if required, is typically scheduled within three (3) to five (5) business days, subject to engineer availability and site readiness.

8. Limitation of Liability

The Supplier’s liability is limited to the repair or replacement of defective parts.

Under no circumstances shall the Supplier be liable for indirect, incidental, or consequential damages, including loss of production or profit.


9. Component Substitutions

Supplier reserves the right to substitute auxiliary or supporting components with equivalent or superior alternatives based on availability, provided that overall system performance is not adversely affected.


10. Performance Tolerances

All technical specifications and performance values provided in quotations, proposals, or documentation are nominal and subject to normal engineering tolerances. Supplier guarantees that the system will be properly sized and configured to support the Customer’s intended application, but does not guarantee exact nominal performance values.


11. Inspection and Opportunity to Cure

Customer shall inspect the equipment upon delivery and notify Supplier in writing of any alleged non-conformity within ten (10) days. Supplier shall be given a reasonable opportunity to inspect, repair, replace, or otherwise cure any proven non-conformity before any further claims may be made.


12. Governing Law

These Terms & Conditions shall be governed by the laws of the State of Florida, without regard to conflict of law principles.


13. Payment Terms and Title

Title to the equipment shall remain with Supplier until full payment is received. Risk of loss transfers to Customer upon shipment from Supplier’s facility, unless otherwise agreed in writing.


14. Force Majeure

Supplier shall not be liable for delays or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, supply chain disruptions, transportation delays, labor shortages, or governmental actions.


15. Taxes

Prices do not include any applicable sales, use, excise, or other taxes. Customer is responsible for all applicable taxes unless a valid exemption certificate is provided.


16. Order Cancellation

Orders for custom or built-to-order equipment may not be cancelled without Supplier’s written consent. If cancellation is approved, Customer shall be responsible for all costs incurred up to the date of cancellation.


17. Intellectual Property

All drawings, designs, manuals, and technical documentation remain the property of Supplier and may not be reproduced or shared with any third party without Supplier’s prior written permission.


These Terms & Conditions apply unless otherwise agreed in writing.

Safe Equip LLC reserves the right to update these Terms & Conditions without prior notice.
